1. Use of Services

a. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. The Services are intended for business use only.

b. Account Registration

You must register for an account to access most Services. You agree to provide accurate, current, and complete information and to keep your account secure.

c. Acceptable Use

You agree not to:

• Use the Services for unlawful or unauthorized purposes
• Reverse-engineer, decompile, or interfere with the Services
• Upload viruses or malicious code
• Violate the rights of others

2. Subscription and Payment

a. Fees

Access to the Services requires payment of subscription fees as set forth in your order form.

b. Billing

Fees are billed in advance on a recurring basis unless otherwise agreed. You authorize us to charge your designated payment method.

c. Taxes

You are responsible for all taxes, duties, and government charges associated with your use of the Services.

3. Intellectual Property

a. Ownership

All intellectual property rights in the Services are owned by Calkin or its licensors. You receive no rights other than those expressly granted under these Terms.

b. License

We grant you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes.

4. Confidentiality and Data

a. Confidentiality

Each party agrees to protect the other's confidential information and use it only as necessary to perform under these Terms.

b. Data Rights

You retain all rights to your data. No Excel data is collected by us (cell contents, sheet names etc). Individual buttons pressed within the Calkin app may be aggregated and anonymized to improve our Services.

5. Service Availability and Support

We will use commercially reasonable efforts to ensure the Services are available and operate in accordance with applicable documentation. Scheduled downtime will be communicated in advance when possible.

6. Termination

a. Termination by You

You may terminate your account at any time. Termination does not relieve you of any payment obligations incurred prior to termination.

b. Termination by Us

We may suspend or terminate your access if you violate these Terms or for any reason with reasonable notice.

c. Effect of Termination

Upon termination, your access to the Services will cease. We may retain and use your data in accordance with our Privacy Policy.

7. Disclaimers

The Services are provided "as is" and "as available". We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the fullest extent permitted by law, Calkin is not liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Any amount exceeding the fees paid in the 12 months prior to the claim

9. Indemnification

You agree to indemnify and hold Calkin harmless from any claims, damages, losses, or expenses arising out of your use of the Services or violation of these Terms.

10. Governing Law

These Terms are governed by the laws of Sweden, without regard to its conflict of law principles. Any disputes will be resolved in the courts located in Stockholm.

11. Changes to Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice. Continued use of the Services constitutes acceptance of the revised Terms.
