Terms of Service

1. Use of Services

a. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. The Services are intended for business use only.

b. License and Activation

Calkin is licensed per user and activated with a license key. We grant you a limited, non-exclusive, non-transferable license to use Calkin as a Microsoft Excel add-in for your internal business purposes, for up to the number of users your license covers.

c. Acceptable Use

You agree not to:

• Use the Services for unlawful or unauthorized purposes
• Reverse-engineer, decompile, or interfere with the Services
• Distribute, sublicense, or transfer the Services without our prior written consent
• Upload viruses or malicious code
• Violate the rights of others

2. Subscription and Payment

a. Fees

Use of the Services requires payment of the fees set out in your order form or our current pricing. Fees are billed yearly in advance unless we agree otherwise.

b. Trial and Term

New customers get a 14-day free trial. After the trial, the license runs for an initial period of 12 months. It then ends automatically unless both parties agree in writing to extend it, and we send you a reminder in good time before the period ends.

c. Taxes

Fees do not include VAT, customs, bank charges, or similar taxes. You are responsible for all taxes, duties, and government charges associated with your use of the Services.

3. Intellectual Property

a. Ownership

All intellectual property rights in the Services are owned by Calkin or its licensors. You receive no rights other than those expressly granted under these Terms. Any feedback or suggestions you share about Calkin become our property, and we may use them freely.

b. License

We grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes.

4. Confidentiality and Data

a. Confidentiality

Each party agrees to protect the other’s confidential information and use it only as necessary to perform under these Terms.

b. Data Rights

You keep all rights to your data. Calkin runs locally on your device, and the content of your Excel files (such as cell values and sheet names) never leaves your computer or reaches our servers. We collect anonymized, aggregated information about which features are used, along with crash diagnostics, to improve Calkin. The only personal data we need is your work email, which we use to validate your license. See our Privacy Policy for more.

5. Service Availability and Support

We use commercially reasonable efforts to keep the Services available and working in line with their documentation. When we plan maintenance, we give at least 48 hours’ notice and schedule it outside normal office hours (Monday to Friday, 08:00 to 18:00 CET) where possible, and we let you know promptly about any unplanned disruption. Security updates are included at no extra cost. You can reach support at support@calkin.com.

6. Termination

a. Termination by You

You may cancel at any time. If you cancel, you only pay for the calendar months you have used and we refund the rest. Cancelling does not remove payment obligations that were already due.

b. Termination by Us

We may suspend or terminate your access if you violate these Terms or for any reason with reasonable notice.

c. Effect of Termination

Upon termination, your access to the Services will cease. We may retain and use your data in accordance with our Privacy Policy.

7. Disclaimers

The Services are provided “as is” and “as available”. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent the law allows. We are not responsible for any loss of or damage to your data, so please keep your own backups. In normal use, Calkin will not change or delete your original Excel files without your explicit approval.

8. Limitation of Liability

To the fullest extent permitted by law, Calkin is not liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Any amount greater than the fees you have actually paid to us under the agreement

9. Indemnification

You agree to indemnify and hold Calkin harmless from any claims, damages, losses, or expenses arising out of your use of the Services or violation of these Terms. You also agree to follow any export and re-export rules that apply to the software.

For our part, we will defend you against third-party claims that Calkin, in its unmodified form and used as permitted by these Terms, infringes someone else’s intellectual property rights. This does not apply where the claim arises from changes you or a third party made to the software, from combining it with software that is not part of the standard Microsoft Office environment, or from use these Terms do not allow.

10. Governing Law

These Terms are governed by the laws of Sweden, without regard to its conflict of law principles. We will try in good faith to resolve any dispute, and if we cannot, it will be settled by the Stockholm District Court (Stockholms tingsrätt) as the court of first instance.

11. Changes to Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice. Continued use of the Services constitutes acceptance of the revised Terms. If you have signed a separate license agreement with us, that agreement takes precedence over these Terms where they differ.
